These Terms of Service (“Terms”) govern your access to and use of the NeuralGrant platform and services (“Service”) operated by NeuralGrant, Inc. (“we,” “us,” or “NeuralGrant”). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

NeuralGrant is an AI-powered grant intelligence platform that helps nonprofits discover matching funders, benchmark against peer organizations, and develop grant strategies. The Service analyzes publicly available IRS 990 tax filing data using artificial intelligence to generate insights and recommendations.

1.1 AI-Generated Content

The Service uses Google Gemini and other AI models to analyze data and generate outputs including funder matches, peer benchmarks, readiness scores, and positioning recommendations. You acknowledge that:

AI-generated outputs may not be accurate, complete, or current
Outputs are informational only and do not constitute professional advice
The Service is not a substitute for a grants consultant, legal advisor, or financial advisor
Use of the Service does not guarantee grant funding
Similar inputs may produce similar outputs for different users

1.2 Public Data

The Service analyzes IRS Form 990 data, which is publicly available under IRC Section 6104. This data may be 1–2 years behind current filings and may contain errors from the original filings. We do not guarantee the accuracy or timeliness of underlying IRS data.

1.3 Beta Service

The Service is currently in private beta. Beta features may be modified, suspended, or discontinued at any time without notice. We may limit access, features, or availability during the beta period.

2. Accounts

To use the Service, you must create an account using Google OAuth or email/password authentication. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must be at least 18 years old to use the Service. You may not share account credentials or create multiple accounts.

3. Credits & Billing

3.1 Credit System

The Service operates on a credit-based system. Credits are consumed when you use AI-powered features such as funder searches, peer benchmarks, and strategy generation. Credit costs vary by feature complexity.

3.2 Plans & Pricing

We offer multiple subscription tiers with different monthly credit allocations. Plan details, pricing, and credit amounts are displayed on our pricing page and may change with 30 days notice. Free trials are limited to 14 days and 100 credits.

3.3 Renewals & Cancellation

Paid subscriptions renew automatically at the end of each billing period. You may cancel at any time; cancellation takes effect at the end of the current billing period. Unused credits from monthly allocations may roll over according to your plan terms. Refunds are generally not provided for partial billing periods.

3.4 Credit Top-Ups

Additional credits may be purchased as one-time top-ups. Top-up credits expire 12 months from the date of purchase. Credits are consumed in first-in, first-out (FIFO) order from the earliest-expiring pool.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to reverse-engineer, decompile, or extract algorithms from the Service
Scrape, crawl, or use automated tools to access the Service without permission
Resell, redistribute, or commercially exploit AI outputs without authorization
Interfere with or disrupt the Service or its infrastructure
Circumvent usage limits, credit systems, or access controls
Use the Service to build a competing product
Impersonate another user or organization

5. Intellectual Property

5.1 Our Rights

NeuralGrant owns all rights in the Service, including its software, algorithms, designs, branding, and documentation. These Terms do not grant you any rights to our intellectual property except as expressly stated.

5.2 Your Content

You retain ownership of data you input into the Service (such as your organization's information). You grant us a limited license to process your inputs solely to provide and improve the Service.

5.3 AI Outputs

You may use AI-generated outputs (funder lists, benchmarks, strategy memos, etc.) for your organization's internal purposes. We may use anonymized, aggregated data derived from Service usage to improve the platform.

6. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR RELIABLE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURALGRANT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF FUNDING, GRANT OPPORTUNITIES, DATA, OR PROFITS.

9. Indemnification

You agree to indemnify and hold NeuralGrant harmless from any claims, losses, or damages (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or decisions made based on AI-generated outputs.

10. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. You may opt out of arbitration by notifying us in writing within 30 days of accepting these Terms. You agree to waive any right to participate in a class action.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with notice. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination. Sections 5, 7, 8, 9, and 10 survive termination.
